These terms and conditions govern the use of our website, ie.silvercrossbaby.com, and in using this website either by browsing pages or making an online purchase you agree to be bound by these terms and conditions as laid out below.

Online Purchases and Contract Formation

When you complete an online order for a product purchase, we will initially send you an email that confirms the order details you have sent to us. This email does not constitute the formation of a contract but is our acknowledgement of your offer of purchase of product(s) the details and prices of which are detailed in our order acknowledgement email. Upon dispatch of the products you have ordered from us from our warehouse we will send a dispatch email that constitutes acceptance of your order and the completion of a contract between you and us for the purchase of the product(s) at the price and specification detailed in this email. If we do not accept your order, then we will contact you via email or telephone before any products are dispatched and therefore any contract is formed.

A product will be your responsibility from the time we deliver the product to the address you gave us or you or a carrier organised by you collect it from us. You own a product once we have received payment in full.

Contract Cancellation

You are entitled to cancel your order or contract with us provided that you do so within 14 days of placing the initial order with us. If no goods have been dispatched then we will provide a full refund within 7 working days including any shipping charges you have paid for. If a contract has been formed and your products have been dispatched then the process will be followed as laid out in our Returns Policy.

Law

The interpretation, construction, effect and enforceability of this agreement shall be governed by Law, and you and we agree to submit to the jurisdiction of the court for the determination of disputes.

Attention is drawn to the terms and conditions set out below, in particular to limitation of Silver Cross's liability. They are binding upon all purchasers and govern all orders and contracts for the sale or supply of all products by Silver Cross.

In these terms and conditions ("Conditions") the following words and expressions shall have the following meanings:

  • "the Price" means the price of the Products, agreed between Silver Cross and the Purchaser at the date of order.
  • "the Products" means the products sold or supplied by Silver Cross to the Purchaser including any labelling and packaging.
  • "the Purchaser" means the entity named in the order which buys or has agreed to buy the Products from Silver Cross.
  • "Silver Cross" means Silver Cross (Ireland) Limited, whose principal place of business is Ireland.

Order and Acceptance

These Conditions shall apply to and form part of all orders and other contracts for the sale or supply of the Products by Silver Cross to the Purchaser and any terms and conditions in the Purchaser's order or enquiries inconsistent with these Conditions shall be of no effect. All orders for the Products shall be deemed to be an offer by the Purchaser to purchase the Products in accordance with these Conditions.

The acceptance of orders for the Products shall be at the entire discretion of Silver Cross. Acceptance of the Purchaser's order shall become binding on Silver Cross only when Silver Cross has confirmed in writing that it has accepted the order.

Prices

>

Silver Cross will supply the Products to the Purchaser at the Price.

Retail

>

For the Ireland and the Northern Ireland domestic market, Silver Cross generally publishes suggested or recommended retail prices for its products (SRP’s or RRP’s). The Purchaser is, however, entirely free to resell the Products at whatever price it considers appropriate.

The Purchaser shall comply with Silver Cross’s retail strategy as advised from time to time. This includes selling from agreed retail sites only and not from secondary sites without prior authorisation in writing.

Payment

>

The time of payment shall be of the essence of any order or other contract to which these Conditions apply. Payment will be in advance of delivery except where credit terms have been agreed with the Purchaser in writing.

Unless otherwise stated in writing, the Price is exclusive of delivery charges, insurance charges, VAT and other applicable taxes, duties or levies all of which are payable by the Purchaser in addition to the Price.

In no event shall the Purchaser be entitled to make any deduction from any payment for an order due to Silver Cross in respect of any set-off or counterclaim, unless both the validity and the amount thereof have been admitted in writing by a Director of Silver Cross.

Payment shall be made by the Purchaser in EUR as instructed by Silver Cross by bank transfer (which for the avoidance of doubt shall include direct debit) or cheque to such bank account as Silver Cross may from time to time notify in writing to the Purchaser.

Payment shall be construed as being received at the time that Silver Cross's bankers receive the cleared funds from the Purchaser's bankers.

Silver Cross shall be entitled to allocate payments received from the Purchaser against any invoice issued to the Purchaser that is due for payment.

Passing of Property and Risk

>

The Products shall be at the Purchaser's risk from delivery.

Whether or not risk in the Products has passed, property in the Products shall not pass from Silver Cross until Silver Cross has received payment in full (in cash or cleared funds) of

(a) all sums due to it in respect of the Products (including but not limited to the Price); and

(b) all other sums which are or which become due to Silver Cross from the Purchaser

and, until such payment, the Purchaser shall hold the Products to the order of Silver Cross. Silver Cross may bring an action for the Price notwithstanding that property in the Products has not passed to the Purchaser.

Until such time as property in the Products has passed to the Purchaser, the Purchaser shall ensure that the Products are securely stored at no cost to Silver Cross separately from all other goods in the Purchaser's possession and marked in such a way that they are clearly identified as Silver Cross's property and easily removable by Silver Cross. The Purchaser shall ensure that the Products are properly maintained in the condition in which they were delivered and shall make good any damage or deterioration.

The Purchaser may resell the Products in the ordinary course of its business before property in the Products has passed to it provided that any sale is a sale of Silver Cross's property on the Purchaser's own behalf and is made by the Purchaser acting as principal. The Purchaser shall be deemed to have sold all products of the kind sold by Silver Cross to the Purchaser in the order in which they were invoiced to the Purchaser.

Until such time as property in the Products passes from Silver Cross:

  • the Purchaser shall not part with possession of the Products save as a result of a resale; and
  • the Purchaser shall upon request deliver up to Silver Cross such of the Products as have not been resold. If the Purchaser fails to do so Silver Cross may, during business hours, without notice enter upon any premises owned, occupied or controlled by the Purchaser where the Products are situated or where Silver Cross reasonably believes the Products are situated and repossess the Products and the Purchaser grants Silver Cross an irrevocable licence for this purpose.

The Purchaser shall not pledge or in any way charge by way of security for any indebtedness any of the Products which are the property of Silver Cross. Without prejudice to the other rights of Silver Cross, if the Purchaser does so all sums owing by the Purchaser to Silver Cross in relation to the Products shall forthwith become due and payable.

The Purchaser shall insure and keep insured, until property in the Products passes to the Purchaser, the Products to the full Price against "all risks" to the reasonable satisfaction of Silver Cross from the time of delivery of the Products, and shall whenever requested by Silver Cross produce a copy of the policy of insurance.

The Purchaser shall leave in position and not cover, deface or erase any notices or other marks (including serial numbers and notices that a patent, trade mark, design or copyright relating to the products is owned by Silver Cross or a third party) which Silver Cross may place on or affix to the Products.

Delivery

>

Delivery shall take place on the first to occur of the following as agreed between the parties:

  • delivery of the Products to the Purchaser at Silver Cross's premises;
  • delivery of the Products to the Purchaser's premises by Silver Cross;
  • delivery of the Products to the agreed point of loading.

Any delivery dates requested by the Purchaser or estimated by Silver Cross are approximate only and time of delivery shall not be of the essence, nor may the Purchaser make it so without Silver Cross’s prior written agreement. Silver Cross will use its reasonable endeavours to deliver in accordance with the delivery schedule agreed between the parties.

If the Purchaser refuses to agree a reasonable delivery date, does not respect an agreed delivery date or does not tender payment or provide Silver Cross with such documentation as it shall reasonably require in order to effect delivery, Silver Cross:-

  • may either effect delivery at the Purchaser's expense by whatever means it thinks most appropriate or arrange storage at the Purchaser's risk and expense pending delivery;
  • may, upon giving the Purchaser 24 hours prior notice and the option to accept delivery within that timescale, re-sell or otherwise dispose of the Products or part of them without prejudice to any other rights Silver Cross may have against the Purchaser for breach of contract or otherwise.

Silver Cross shall be entitled to deliver the Products by instalments and in such case each instalment shall constitute a separate contract and any failure or defect in delivery of any one or more instalments shall not entitle the Purchaser to repudiate the contract as a whole nor to cancel any subsequent instalment.

The Purchaser must inspect the Products upon delivery and inform Silver Cross in writing within 48 hours of any products which are delivered in a damaged or defective state or of any shortfall in the quantity of any delivery. Any shortfall in the quantity of Products delivered from that stated in any contract to which these Conditions apply shall not give rise to a claim for damages for breach of contract solely as a result of such shortfall, but the Purchaser shall only be obliged to pay at the contract rate for the quantity of Products delivered.

Non-delivery must be reported by the Purchaser by telephone within 48 hours of the agreed date of delivery and confirmed in writing within 5 days of the agreed date of delivery.

Return of Products

>

The Purchaser shall have no right to require Silver Cross to take back and to give credit for non-defective Products delivered to the Purchaser in accordance with the 'Delivery' clause.

Should the Purchaser prove to the satisfaction of Silver Cross that Products supplied are not in accordance with the specifications of the order or are defective by way of faulty material or workmanship, Silver Cross may at its discretion request the return of the Products in question for repair or replacement or issuance of a credit note to the value of the Products concerned.

Silver Cross cannot be held responsible for lost returns (save where lost by Silver Cross).

Website Registration

Some services are only available after you complete the website registration process. By registering to use these extra website services you agree:-

  • That the information you provide to us during the registration process is accurate and complete and relates only to yourself and does not in any way involve you impersonating any other person or providing a false identity or name/address that you are not authorized to use.
  • That you will inform us immediately if any of these details change by contacting us directly using one of the channels of communication detailed in our Contact Silver Cross website section
  • That you will take necessary measures to ensure that your username and password are kept confidential and known only by yourself and that you are responsible for all activity that occurs on the website under those account details. You also agree that you will take necessary precautions to ensure that any computer you use to access the website has adequate protection against third-party malicious activity such as viruses, spyware, key-logging, phishing.
  • That you are at least 18 years of age and a valid ROI or NI resident.

Shopping With Us

Payment

Credit Card payment is taken immediately at the time of your order. All payment is processed in Euros. We accept most major cards including Visa, Visa Delta, MasterCard and Maestro. We also accept payment by PayPal. We are unable to accept payment via cheque or any method other than those listed above. The description of the goods, services, price, currency and delivery costs are set out on the order page. To protect our customers from fraudulent credit card use, all orders are subject to security screening and if any irregularities are found, the order may not be processed.

 

Pre-Ordered Products

We will make clear on our website which of our products are available on a pre-order basis and will provide an indication as to when dispatch will be at the point of purchase. You will be required to provide full payment at the point of purchase. If you decide that you no longer want the product and it has not yet been dispatched, then we will provide a full refund within 7 working days of receiving your notice of cancellation, including any shipping charges you have paid for. Product Availability

All products for sale on https://ie.silvercrossbaby.com/ are subject to availability; if for any reason your order cannot be fulfilled owing to lack of stock, you will be advised by email.

Product Descriptions

Every product is sold subject to the product description and supporting information such as size, colour, estimated delivery dates and guarantees. The weights, dimensions and capacities given are approximate only. We have made every effort to display as accurately as possible the colours of our products that appear on the website. However, as the actual colours you see will depend on your monitor, we cannot guarantee that your monitor's display of any colour will accurately reflect the colour of the product on delivery. We will take all reasonable care to ensure that all of the product details, descriptions and prices are correct at the time when the information is uploaded onto the website. However, the information may not always exactly reflect the position when you placed an order. Please note that the delivery times are only estimates, and cannot be guaranteed. Estimated delivery times will be set out in your order confirmation email. For any products available for pre-order or those temporarily out of stock, the “in stock” date will be included on the relevant product page. Once ordered, our Home Delivery team will then confirm to you the estimated delivery time. Packaging may vary from that shown. We reserve the right to refuse orders where the product information, price or product promotion has been incorrectly published.

All prices include VAT and are subject to change without prior notice.

The products excluded from Silver Cross discount codes are as follows; Motion All Size, Clic Grey, Clic Pink, Dune, Reef, Bromley Furniture, Furniture Promotions, Bedding Promotions, Online Exclusive Products, Stroller Promotions.

Note: Discount codes can not be used on any current items on promotion.

Orders And Returns

Placing an Order Making a purchase is easy. Just follow these simple steps:

• Shop our website by browsing through our product range;

• Click on the image to access the individual item's product page where you will be given information on sizing, colour options and availability;

• Add an item to your shopping basket by clicking the "Buy Now" button on the product page;

• Review the items you have chosen in your shopping bag, or at the checkout. To delete an item from your shopping bag, click on the "Remove" button next to the item;

• You can continue shopping by selecting the "Continue Shopping" button;

• You can also view the items in your basket whilst you continue shopping, by clicking on the "Shopping Basket" icon at the top of the homepage;

• Complete your order by selecting "Checkout" and then follow the steps;

• When you are ready to complete your order, click the “Complete Your Order” button and wait for the order conformation page to appear. You will also receive an order confirmation email with details of your order shortly after we have received it.

Please be advised that placing an item in your basket does not secure it for you and it can still be purchased by another customer. We therefore suggest that you complete your order as soon as possible.

Amending your Order

You are able to correct errors on your order up to the point at which you click on 'Complete Your Order' on the Payment Page of our ordering process.

Unfortunately, we are unable to amend/change orders once they have been submitted. Therefore, if you are unhappy with your order details you will be required to cancel your original order (see the Returns Policy below) and place a new order with the correct details. You may find there are changes to your delivery timescale and/or the price you pay for the item as you'll be charged the current selling price on the day you amend or cancel the order.

Exchanges

Please note we do not offer exchanges for alternative items, colours or sizes at our online store. An online exchange is placed as a new order. This will involve placing a new order and taking payment details from you again. You will be refunded for any returned item(s) in line with the Returns Policy stated below.

Acknowledgment and Despatch/Acceptance of your Order

We will notify you by email as soon as possible to acknowledge receipt of your order, so please ensure you enter a valid email address. This does not constitute acceptance of your order. Silver Cross reserves the right to refuse an order for any reason. You will be notified of the dispatch of your order by email with the courier details (the dispatch confirmation). Notification of dispatch via the dispatch confirmation constitutes acceptance of your order. Acceptance of all orders is subject to credit checks and Silver Cross reserves the right to cancel any order which does not comply with these regulations.

Purchases made on our website are for the personal or gift use of the buyer only and are not to be used for re-sale, commercial purposes or any other commercial benefit. Silver Cross reserves the right to restrict multiple quantities of an item being shipped to any one customer or postal address.

Whilst we use reasonable endeavours to ensure that this website is secure and free from errors, viruses and other malicious or harmful content, we give no warranty or guaranty in that regard. It is your responsibility to ensure that you have the right equipment (including antivirus software) to use the website safely and to screen out anything that may damage or harm your computer or other device. Except where required by law we shall not be liable to any person for loss or damage they suffer as a result of viruses or other malicious or harmful content that they access from or via the website.

Alternate Dispute Resolution

Silver Cross will always try to resolve complaints as quickly as possible. However, if we’ve not resolved your complaint to your satisfaction, you can refer the issue to the independent “Alternative Dispute Resolution” service provided by The Retail Ombudsman (see the Ombudsman’s website here).

Provided your complaint is in their remit, they will investigate your complaint free of charge. If you have purchased your goods online, you also have the right to pursue Online Dispute Resolution (“ODR”) through the ODR Platform, accessible via the following url: http://ec.europa.eu/odr.

Please note that although you have the right to bring a complaint to The Retail Ombudsman, or through the ODR Platform, Silver Cross is not legally bound to comply with the ADR/ODR process and, therefore, shall be entitled to elect not to participate in the event that you do bring such a claim.

All rights, including copyright, in this website are owned by or licensed to Silver Cross UK Limited. Any use of this website or its contents, including copying or storing it or them in whole or part, other than for your own personal, non-commercial use is prohibited without the permission of Silver Cross. Breach of this policy

We exclude our liability for all action we may take in response to breaches of this acceptable use policy. The actions we may take are not limited to those described above, and we may take any other action we reasonably deem appropriate.

How this contract can be transferred

We can transfer our rights and obligations under these terms to any third party, provided this does not adversely affect your rights under these terms.
